These Terms & Conditions (“Terms”) govern the sale of goods by Serty Distributions Ltd (“we”, “us”, “our”) to any business customer (“you”, “your”, “Customer”). By placing an order with us, you agree to be bound by these Terms.

2. Business customers only

We supply goods on a business-to-business (B2B) basis only. By placing an order, you confirm that you are purchasing as a registered business, and you agree to provide accurate company registration details when requested. We do not knowingly sell to individual consumers for personal use.

3. Trading accounts

• New accounts require valid company registration details before an account is opened.
• We reserve the right to decline or suspend any account at our discretion, including where credit checks are unsatisfactory.
• Account details must be kept accurate and up to date; you must notify us promptly of any changes.

4. Orders and minimum order quantities

• All products are sold in full case quantities. Minimum order quantities vary by product and will be confirmed at the time of quotation or order.
• Placing an order constitutes an offer to purchase, which we may accept or decline. A contract is formed only once we confirm acceptance of your order in writing (including by email).
• We reserve the right to refuse or cancel any order, including where a product is out of stock, incorrectly priced, or where we suspect fraudulent activity.

5. Pricing and payment

• All prices are quoted in GBP and are exclusive of VAT unless stated otherwise.
• We reserve the right to change prices at any time, but the price confirmed at order acceptance will apply to that order.
• New accounts are required to pay in full at the time of order, unless credit terms have been agreed in writing.
• Approved trade accounts may be offered credit terms after an initial trading period, at our sole discretion. Credit terms and payment due dates will be set out in your account agreement or invoice.
• Late payment may result in suspension of your account, withholding of future orders, and/or interest charged in line with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Delivery

• We deliver within the UK and internationally, subject to destination and product availability.
• Delivery lead times are estimates only and are confirmed at the time of order. We are not liable for delays caused by circumstances outside our reasonable control (see Section 10).
• Risk in the goods passes to you upon delivery to the address specified in your order.
• You are responsible for ensuring someone authorised is available to receive and inspect the delivery.

7. Returns, damages, and discrepancies

• Any damage, shortage, or discrepancy with a delivery must be reported to us within 48 hours of delivery, with photographic evidence, to be eligible for a replacement or credit.
• Claims made outside this window may not be accepted.
• Goods must not be used, resold, or altered before a damage or discrepancy claim is assessed.
• We do not accept returns of correctly supplied goods unless faulty, damaged in transit, or agreed in writing at our discretion.

8. Product information and availability

• We make reasonable efforts to ensure product descriptions, images, and availability shown on our website and in quotations are accurate. However, product availability (including limited edition stock) is subject to change without notice.
• Where a specific batch or edition sells out, we are not obliged to fulfil orders for that item, though we will notify you as soon as reasonably possible and offer an alternative or refund.

9. Retention of title

Ownership of goods remains with Serty Distributions Ltd until payment has been received in full. Until then, you must store the goods separately and identifiable as our property, and you must not resell or dispose of them if payment is overdue.

10. Liability

• Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited or excluded by law.
• Subject to the above, our total liability arising from any order is limited to the value of that order.
• We are not liable for indirect or consequential losses, including loss of profit, loss of business, or loss of goodwill.
• We are not liable for delays or failure to perform our obligations due to events outside our reasonable control (force majeure), including but not limited to strikes, extreme weather, supplier failures, or transport disruption.

11. Compliance

You agree to comply with all applicable laws and regulations relating to the resale, storage, and (where applicable) age-restricted sale of products purchased from us, including any licensing requirements relevant to your business.

12. Intellectual property

All content on our website, including text, images, logos, and product imagery, is owned by us or licensed to us and may not be copied, reproduced, or used without our prior written consent. Brand names and logos referenced or displayed (e.g. third-party drink brands we distribute) remain the property of their respective owners.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your order will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these Terms

We may update these Terms from time to time. The version in effect at the time you place an order will apply to that order. We recommend reviewing these Terms periodically.
